PrimeFlow

Terms of Service

Effective date: 26 July 2026

These Terms of Service (the “Terms”) govern your use of the PrimeFlow website, applications, APIs, storefront, and related services. This document is provided for transparency and is not personalized legal advice. If you need legal advice, consult a qualified legal professional.

1. Acceptance of Terms

By accessing or using PrimeFlow—including without limitation the website at https://www.primeflow.so, the authenticated application, APIs, organization storefronts, MCP/Hermes interfaces, and other features we make available from time to time—you acknowledge that you have read, understood, and agree to be bound by these Terms. If you accept on behalf of an organization, you represent that you have authority to bind that organization.

We may update these Terms from time to time. Updated versions will be posted on this page with a new effective date. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you should stop using the Service.

2. The Service

PrimeFlow is an AI-powered multi-tenant SaaS enterprise resource planning (ERP) and supply-chain software product, primarily for wholesale and supply-chain businesses, operated at https://www.primeflow.so and related subdomains.

Features may include (depending on your plan, organization configuration, and enabled modules): order and inventory management, finance automation, customer relationship management (CRM), AI agents and automation, an optional public storefront (for example at {slug}.primeflow.so/shop), and integrations with third-party systems. Availability may vary by plan, region, organization permissions, or module toggles; we do not guarantee that every feature is available to every customer at all times.

We may improve, change, suspend, or discontinue features. Where reasonable, we will communicate material changes via in-product notices, email, or this website.

3. Accounts & Organizations

Access to the Service typically requires creating or signing in to an account through our authentication provider, Clerk. You must provide accurate registration information and keep it up to date.

PrimeFlow operates as a multi-tenant platform: data and permissions are isolated by organization. Organization administrators are responsible for inviting and removing users, assigning roles and permissions, and overseeing activity under their organization. You are responsible for all activity under your account and must take reasonable steps to protect credentials, sessions, and API keys.

Where applicable, storefront customer accounts are organization-scoped and are not shared across organizations. You must not attempt to access data belonging to organizations or other tenants for which you lack authorization.

If you become aware of unauthorized use of your account or a security breach, notify us promptly.

4. Subscriptions & Fees

Some features of the Service may require a paid subscription or other fees. Applicable fees, billing cycles, plan inclusions, and payment methods are as set out in an order form, quote, dashboard billing settings, or other written agreement between you and us. These Terms do not set or guarantee any specific prices.

Unless otherwise agreed, fees are typically charged in advance or on each billing cycle. Unpaid amounts may result in suspension, feature limitation, or termination of access. You agree to pay applicable taxes, levies, or similar governmental charges where due.

If we offer a free trial or promotional plan, it may be subject to additional conditions and may convert to a paid plan or end access when the trial expires.

5. Customer Data & Content

You (or your organization) retain whatever rights you already have in business data and content you upload, enter, or generate through the Service (“Customer Data”). Except as described in these Terms or the Privacy Policy, we do not claim ownership of Customer Data.

You grant PrimeFlow a worldwide, non-exclusive, royalty-free, limited license to host, store, process, transmit, display, and otherwise use Customer Data solely as needed to provide, maintain, secure, and improve the Service and to meet legal obligations.

You represent and warrant that you own or have obtained all rights, consents, and authorizations needed to provide Customer Data, and that Customer Data and your use of the Service do not infringe third-party rights or violate applicable law.

For details on how we process personal data, see the Privacy Policy.

6. AI Features

The Service may include AI features powered by third-party model providers (for example Anthropic Claude, DeepSeek, MiniMax, and others depending on organization settings and feature flags), including agents, automation, document/template processing, and—where enabled—image or video generation.

AI outputs may be incomplete, outdated, or inaccurate. You must not rely solely on AI outputs for material business, legal, compliance, tax, or financial decisions. Matters affecting operations, contracts, financial statements, or regulatory obligations require human review and judgment by appropriately qualified people.

To provide the Service, meter usage, support billing review, or prevent abuse, we may measure, log, and analyze AI usage events (for example request volume, feature type, or related metadata). Details on personal data processing appear in the Privacy Policy.

You must not use AI features to generate or distribute unlawful, infringing, or harmful content, or to circumvent security or usage limits.

7. Integrations & Third Parties

The Service may offer optional connectors or integrations, such as WHEREorder, Meta, Shopify, QuickBooks Online, WhatsApp Business, Twilio (for example storefront OTP), merchant.where, GitHub App, and others. By enabling an integration, you authorize us to exchange data with the relevant third party as needed to provide that functionality.

Third-party services are subject to their own terms and privacy policies. We do not control third-party availability, policy changes, pricing, or data practices, and—to the fullest extent permitted by law—we are not liable for third-party outages, errors, data loss, or damages arising from third-party acts or omissions.

You are responsible for ensuring your use of third-party services complies with those providers’ terms and applicable law, and for managing API keys and authorization scopes appropriately.

8. Acceptable Use

You agree to use the Service only for lawful business purposes and in accordance with these Terms and applicable law. Prohibited conduct includes, without limitation:

  • Abusing, overloading, or otherwise interfering with the Service or its infrastructure;
  • Automated scraping, probing, or load testing that harms the Service (except security research with our prior written permission);
  • Uploading or distributing malware, viruses, or other harmful code;
  • Uploading or transmitting unlawful, infringing, fraudulent, or harmful content;
  • Attempting to access data or accounts of other tenants, organizations, or users;
  • Circumventing security controls, usage limits, billing metering, or access restrictions;
  • Reselling, sublicensing, or providing the Service to third parties in an unauthorized manner (unless expressly permitted by your plan).

9. Confidentiality

Each party agrees to protect the other party’s non-public information learned in connection with the Service (“Confidential Information”) with reasonable care, and no less care than it uses to protect its own similar confidential information.

The receiving party may use Confidential Information only to perform under these Terms or to provide or use the Service, and may not disclose it to third parties except: (a) with the disclosing party’s prior written consent; (b) as required by law, court, or competent authority (with prior notice to the disclosing party where legally permitted); or (c) to advisors, contractors, or service providers bound by confidentiality obligations, and only as needed.

Information that is public, independently developed without use of Confidential Information, or rightfully received without a duty of confidentiality is not Confidential Information.

10. Disclaimer of Warranties

To the maximum extent permitted by the laws of the Hong Kong Special Administrative Region, the Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, or error-free performance.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that AI outputs, integration results, or reports will be accurate, complete, or fit for your purposes. You use the Service and rely on any outputs at your own risk.

Some jurisdictions do not allow exclusion of certain warranties; in those cases, exclusions apply only to the extent permitted by law.

11. Limitation of Liability

To the maximum extent permitted by the laws of the Hong Kong Special Administrative Region, PrimeFlow and its suppliers, affiliates, and personnel will not be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages (including loss of profits, revenue, goodwill, data, or business interruption), whether in contract, tort, or otherwise, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our aggregate liability arising out of or relating to these Terms or the Service will not exceed the total fees you actually paid to us for the relevant Service in the twelve (12) months preceding the event giving rise to the claim; if you paid no fees in that period, our aggregate liability is limited to zero Hong Kong dollars or the minimum amount permitted by law.

The foregoing limitations do not apply to liability that cannot be limited or excluded by law (for example liability arising from fraud or mandatory statutory rules).

12. Indemnity

You agree to defend, indemnify, and hold harmless PrimeFlow and its personnel, contractors, and affiliates from and against any claims, damages, losses, liabilities, and reasonable costs (including reasonable legal fees) arising out of or related to: (a) your Customer Data or content you provide; (b) misuse of the Service or breach of these Terms by you or members of your organization; (c) your unlawful use of the Service; or (d) your breach of obligations to, or infringement of rights of, a third party.

We reserve the right to assume exclusive defense of any indemnified claim at our own expense; you will reasonably cooperate.

13. Suspension & Termination

We may suspend or limit access to the Service when we reasonably believe you have breached these Terms, failed to pay amounts due, pose a security or legal risk to the Service or other users, or when we must comply with law. Where practicable we will try to give prior notice; in urgent or legally required cases we may act without prior notice.

You may stop using the Service at any time and may close accounts or cancel subscriptions through product flows or by contacting us, subject to any agreed minimum term or outstanding fees.

Upon termination or suspension, your access may end immediately. Export, retention, and deletion of Customer Data are addressed at a high level here and in more detail in the Privacy Policy and any applicable data processing arrangements; the Privacy Policy controls on those topics.

Provisions that by their nature should survive termination (including confidentiality, disclaimers, limitation of liability, indemnity, and governing law) will survive.

14. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles.

The courts of the Hong Kong Special Administrative Region shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, provided that we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect the Service or intellectual property.

Before commencing formal proceedings, the parties should use reasonable efforts to resolve disputes through good-faith discussion.
